Job Description:

Sun Life’s high caliber Corporate Secretary’s department is seeking a Corporate/Securities Lawyer to join them as Counsel, Governance.  Reporting to the Assistant Vice-President, Senior Counsel & Assistant Corporate Secretary, the successful candidate will collaborate across the teams within the Corporate Secretary’s Department to ensure the provision of leading corporate governance, corporate and securities/public disclosure advice.

What will you do:

  • Board and Committee Meetings:  Assists with the coordination and execution of the public company board and committee meetings, including the drafting of certain meeting material. 
  • Subsidiary Board Meetings:  Serve as the Secretary of one or more Canadian subsidiaries, and work collaboratively with the Assistant Vice-President, Subsidiary Governance and a senior corporate law clerk on all aspects of those subsidiary meetings.
  • Governance, Corporate and securities/public disclosure:  Assists with Board related corporate governance documents and processes, benchmarking and preparation of memos on current governance issues and trends, assists with the drafting of the annual meeting materials, including the management information circular and Policyholder Information Booklet, advising on subsidiary governance practices and providing general corporate advice to the group.  Works closely with compliance colleagues on regulatory compliance matters related to the Board.
  • Supports the VP, Associate General Counsel and Corporate Secretary in ensuring compliance with enterprise policies.
  • Leads or contributes to special projects, as required. 

What do you need to succeed:

  • Must be licensed to practice law in Ontario
  • Must have 4-5+ years of relevant corporate and securities law experience gained at a leading law firm or publicly traded company
  • able to engage and influence others with confidence, building relationships across multiple areas of the business and working as a team player
  • a self-starter who is developing strong business acumen and the ability to effectively support simultaneous projects
  • proactively engaged to keep up with regulatory developments and changes
  • background in corporate governance and corporate secretarial practices
  • knowledge of corporate law, the Securities Act (Ontario) and relevant National Instruments as well as the rules of the TSX and NYSE
  • skilled at simplifying complex legal concepts to provide pro-active advice in a clear and concise manner
  • able to take a risk-based approach to the prioritization of work

The Base Pay range is for the primary location for which the job is posted.  It may vary depending on the work location of the successful candidate or other factors.  In addition to Base Pay, eligible Sun Life employees participate in various incentive plans, payment under which is discretionary and subject to individual and company performance.  Certain sales focused roles have sales incentive plans based on individual or group sales results.
